1. Acceptance of Terms & Eligibility

By using the platform, you acknowledge that you:

• Have read, understood, and agreed to these terms and the Privacy Policy.
• Are at least 18 years of age or have authorization from your organization.
• Are legally authorized to enter into this agreement on behalf of yourself or your organization.
• If you do not agree with any part of these terms, you must immediately cease using the platform.

2. User Accounts

When creating an account on the platform:

• You must provide accurate and complete information and update it when changed.
• You are responsible for maintaining the confidentiality of your password and account security.
• You are responsible for all activities that occur under your account.
• You may not share your account or resell access to the platform.
• You must notify us immediately if you suspect unauthorized use of your account.

3. Subscriptions & Payment

The platform offers several subscription tiers:

• Free Trial: 14 days with 50 AI credits, starting from registration date. After expiration, it automatically converts to the free tier.
• Free Tier (Auditor): Includes basic audit tools with 20 AI credits per month.
• Paid Tiers (Plus, Pro): Available with monthly or annual billing. Subscription activation requires full upfront payment (monthly or annual as selected). Account setup is completed within 24 business hours of payment confirmation. Fees are non-refundable after subscription activation.
• Enterprise Tier (Corporate): Subject to a separate agreement. Activation requires full annual payment in advance. Enterprise account setup is completed within one business week of payment confirmation. Subscription period begins from the date the account is delivered ready for use.
• We reserve the right to modify tier pricing with at least 30 days' prior notice. Changes do not apply to active subscriptions until renewal.
• AI quotas reset monthly for annual subscriptions only. At the start of each new month, the remaining balance from the previous month is cleared and the full new quota is added. Unused credits do not carry over to the following month.

4. Data Ownership

You retain full ownership of all data, information, and reports you create or enter on the platform ("Your Data"). We do not claim any ownership of Your Data. Your data is stored on secure cloud infrastructure with logical isolation for each user. For more details, please review our Privacy Policy.

5. Platform Intellectual Property

All components of the platform, including interfaces, design, trademarks, software, AI models, and educational content, are the exclusive property of A³ Audit and are protected by intellectual property laws in the Kingdom of Saudi Arabia and international agreements. The platform is registered with the Saudi Authority for Intellectual Property under registration number 25-12-46913450 dated 23/03/1447 AH (15/09/2025). You may not copy, modify, distribute, or reverse-engineer any part of the platform without prior written permission.

6. Artificial Intelligence Services

The platform includes AI tools for risk analysis, report preparation, and recommendations. Regarding these tools:

• AI outputs are assistive tools and not a substitute for the professional judgment of the internal auditor.
• We do not guarantee the accuracy or completeness of AI outputs. The user is responsible for reviewing and verifying results.
• AI usage is subject to the limits of your subscribed tier.
• Your data input to AI tools is not used for model training.

7. Acceptable Use

You agree not to use the platform for any unlawful or prohibited purpose. This includes:

• Attempting unauthorized access to our systems or other users' data.
• Using the platform in a way that could disrupt or harm the service or other users.
• Uploading content containing viruses or malicious code.
• Violating intellectual property rights of any party.
• Reselling, sublicensing, or sharing your account access with unauthorized parties.
• Using AI tools to generate misleading or unlawful content.

8. Account Suspension & Termination

We may suspend or terminate your account in the following cases:

• Violation of any of these terms of use.
• Providing false or misleading information during registration.
• Failure to renew the subscription upon expiration.
• Using the platform in a way that harms the service or other users.
• We will notify you before any suspension or termination (except in security emergencies) and will provide an opportunity to export your data.

9. Service Disclaimer

The platform is provided "as is" and "as available". We strive to provide a continuous and reliable service, but we do not guarantee that the service will be error-free or uninterrupted. Scheduled maintenance periods may occur and we will notify you in advance.

10. Limitation of Liability

To the fullest extent permitted by law, A³ Audit's total aggregate liability to you shall not exceed the fees you paid during the twelve (12) months preceding the claim. A³ Audit shall not be liable for any indirect, incidental, special, or consequential damages.

11. Governing Law & Dispute Resolution

These terms shall be governed and construed in accordance with the laws of the Kingdom of Saudi Arabia. In the event of any dispute, it shall be resolved amicably within 30 days. If amicable resolution fails, the dispute shall be referred to the exclusive jurisdiction of the courts of the Kingdom of Saudi Arabia.

12. Force Majeure

Neither party shall be considered in breach of its obligations if non-performance results from circumstances beyond its reasonable control, including natural disasters, epidemics, wars, government orders, or disruption of internet services or cloud infrastructure.

13. Changes to Terms

We reserve the right to modify these terms. We will notify you of any material changes at least 30 days before they take effect via email or an in-platform notification. Your continued use of the platform after changes take effect constitutes your acceptance of the new terms.
